1 (a) The social club is known as the Radlett Members Club (Hereinafter called 'The Club') and its object is to afford to its members the means of rest, recreation, and refreshment.
Within this document ‘AGM’ and ‘EGM’ stand respectively for ‘Annual General Meeting’ and ‘Extraordinary General Meeting’
1 (b) These Rules may be amended only at the AGM or at an EGM called for that purpose.
Notice of any proposed amendment shall be posted in the Club for not less than fourteen days prior to the Meeting to which the amendment is to be submitted.
Any amendment shall require a majority of two thirds of the Members present at such a meeting.
The affairs of the club shall be conducted by a Committee which shall be elected as hereinafter shown.
2 The Club shall consist of:
(a) Ordinary Members
(b) OAP Members
(c) Life Members
(d) Country Members
OAP Members shall mean members who were of 65 years of age or over when they joined the Club, or Ordinary members who have reached that age. They may be permitted to pay a reduced subscription. Ordinary Members shall mean members elected according to the rules, and whose current annual subscription have been paid.
Life Members shall mean persons so nominated by the Committee. Their number shall not at any time be significant in proportion to the total membership of the Club.
Country Members may be granted to persons that have moved away from the Club and who still wish to retain their membership, or prospective members so approved by the Committee. They shall be permitted to pay a reduced subscription, but forfeit their right to vote at an AGM or EGM or stand for election to the Committee.
3 A candidate for election as a member must be proposed by two members of the club who are themselves of at least one years standing, and who are able from personal knowledge to vouch for their respectability and fitness to be a Member.
The candidate must sign such declaration of their agreement with, and adherence to the purposes and rules of the Club as shall be required by the Committee. The election or non-election of a candidate shall be at the sole discretion of the Committee whose decision shall be final. No candidate may be elected who is under eighteen years of age.
The duly completed application for membership shall be posted on the notice board of the Club by the Secretary or other authorised officer of the Club as soon as convenient after receipt and for not less than seven days before their name is considered for election. The candidate may be invited to attend a meeting with the Interviewing sub-committee on an arranged date. Their recommendations will be submitted before the full committee for consideration.
4 An entrance fee is payable on the election of a candidate to membership.
The annual subscription shall be payable in advance as from the 1st January of each year.
Any person elected after the 30th June in any year will pay the entrance fee and one half of the annual subscription.
5 Members shall cease to be members:
(a) If their subscriptions have not been paid as provided by Rule 4.
(b) By expulsion as provided in Rule 10.
(c) By resignation, which must be sent in writing to the Secretary or other responsible officer of the Club. But such resignation shall not release any member from obligations previously incurred with regard to subscriptions.
(d) Such persons who have left the district or moved abroad will be permitted to enter the club as visitors as provided under Rule 11 and subject to all dues and subscriptions having been paid as provided in Rule 5(c).
6 The Club shall be managed by a committee consisting of a Chairman, Secretary, Treasurer and eight other members. The positions of Chairman, Secretary and Treasurer shall be elected by members at an annual general meeting and their appointment shall hold good for at least one year.
Thereafter only one of these officers will be asked to formally retire from the position each year by rotation and will be given the opportunity of standing for re-election to any position on the Committee for a further term of office.
All other members of the Committee would be elected by the members at each AGM. Three members of the Committee shall serve as the bar Committee
The election of officers and Committee members at the Annual General Meeting shall be by ballot.
No Member shall be eligible for nomination unless he has been a Member for at least one year and has been proposed and seconded by two Members.
The ballot shall be carried out under the directions of the Committee by three scrutineers appointed by the AGM who may not be candidates or Committee members. The Committee shall have the power to fiII vacancies as may occur and this shall be done by enrolling the next unsuccessful candidate from the last election if available.
7 The Committee shall control the management of the club, and shall have the exclusive power to engage or dismiss
any servants of the club.
The Committee shall normally meet at least once a month to deal with the general business of the club, but may vary the number and frequency of the meetings, should it be deemed advisable.
No decision shall be deemed to be effective unless five members of the Committee are present
The Committee shall have the power to make such bye-laws as it may consider necessary for the good government and order of the club and a copy of any such bye-law shall be posted on the notice board.
Any Committee member or officer not attending for three consecutive meetings shall be deemed to have vacated their position unless he shall have sent an explanation which the Committee consider to be satisfactory.
Any Committee member or officer who shall cease to be a member of the Club shall vacate their office.
The Committee or any members thereof may be removed by a majority of the members present at an EGM called for this purpose provided that no less than one seventh of the members are present and voting.
In the event of the removal or resignation of the whole or majority of the Committee at an EGM such a meeting may appoint a temporary secretary who shall call a further EGM to receive proposals for election to office, and any vote on these proposals shall be taken by ballot.
8 (a) The Annual General meeting shall be held not later than the 31st October each year on a date to be fixed by the Committee. At least 14 days notice with an agenda shall be posted in the Club.
The following business shall be transacted:
(1) To receive statement of income and expenditure and balance sheet
(2) To receive a signed report of the accountants.
(3) To elect Chairman, Secretary, Treasurer and a Committee
(4) To conduct other such business as have been submitted by the Committee or any full member who shall have given written notice of any notice proposed at least fourteen days before the meeting and that the said notice of motion be posted in the Club with the agenda
A Quorum at the Annual General Meeting shall be twenty members. If the meeting is not quorate it shall stand adjourned to the next week at the same time and the meeting so adjourned shall proceed to business whatever the numbers of members present.
8 (b) An EGM shall be called by the Chairman or the Secretary in the following cases
(1) Upon the direction of the committee and in accordance with such direction
(2) On a requisition signed by not less than one seventh of the members stating the special object thereof. Such meeting shall be held not less than 14 days and not more than 21 days from the receipt by the secretary of the requisition
Notice of any EGM and the object for which it is called shall be posted in the club 14 days prior to the date of the meeting
No business other than that named in the notice shall be brought before the EGM.
8 (c) An Extraordinary General Meeting may proceed to business if not less than one seventh of the full members are present, otherwise the meeting if convened on the requisition of the members shall be dissolved, but if it is a meeting convened by Committee it shall stand adjourned to the next week at the same time and the meeting so adjourned shall proceed to business whatever the numbers of members present.
8 (d) Each Member shall be entitled to one vote.
The Chairman has one vote only which is used in event of a tie.
9 Members shall be suitably attired and no drunkenness, bad language or other misconduct shall be permitted in the Club premises.
Any Member offending against this rule shall be dealt with under Rule 10.
Any Member of the Committee or Officer of the club shall be empowered to order the withdrawal from the Club premises of any Member offending, until summoned to meet the Committee as provided in Rule 10. If the next ordinary meeting of the Committee be within three days such member may claim to appear before them, and to have their case dealt with, waiving the length of notice required by Rule 10.
10 The Committee shall have the power to reprimand, suspend (for a period not exceeding 12 months) or expel any Member who shall infringe Rule 9 or other rules or bylaws, or whose conduct, whether within the clubhouse or elsewhere, shall in their opinion render them unfit for membership. No Member shall be suspended or expelled without first being summoned to meet the Committee, and full opportunity afforded them to explain their conduct nor unless two thirds of the Committee then present shall vote for their suspension or expulsion.
Every Member so summoned shall (unless they waive their right as provided in Rule 9) receive at least three days notice in writing from the secretary.
Such notice shall contain a statement of the alleged charge brought against them.
A suspended Member shall forfeit all their rights and privileges under these rules but shall remain liable to pay their subscription during their suspension, and if they are an Officer or Committee member they shall vacate their seat.
11 Any Member may personally introduce friends as their guests. No visitor may be introduced as a guest more than twelve times in any period of twelve months.
The name of the visitor and the signature of the Member introducing them shall be clearly entered in a book kept for that purpose and the visitor will be entitled to use the clubs facilities including snooker and pool tables. The Member shall be responsible for paying the agreed visitors fee in force at the time.
The following shall NOT be admitted as visitors:
(a) Former Members who have been expelled.
(b) Former Members who have ceased to be members under Rule 5(a). Such Former Members may however be considered for readmission to the Club by the Committee.
(c) Persons who have been nominated for Membership and have been rejected.
(d) Members who are under suspension.
Members must accompany guests during the period of their stay in the Club and will be held responsible for their conduct under Rules 9 & 10.
12 Excisable liquor may be supplied only during the hours permitted by the licensing authorities.
13 The Club shall be open to Members between the hours displayed on the notice board.
14 All charges for games and refreshments must be paid for at the time incurred.
The club officials are forbidden to make any departure from this Rule.
15 In the event of any proposal for the proper dissolution of the club an EGM shall be called in accordance with rules 8(b) and (c). Additionally the Secretary shall if practical send written notice of such a meeting to each current member at their home address
Former members shall not be entitled to receive such written notice nor attend the meeting.
A majority of two thirds of the members present and voting at the meeting in favour of the dissolution of the club shall be necessary.
On dissolution any surplus assets remaining after the discharge of all known liabilities shall be shared equally amongst the then current members
All members of Radlett Members Club must adhere to the rules of the club. These were last updated in November 2018 and are displayed on the club noticeboard.
